Draft — under legal review. A good-faith draft in plain English. It may change before Nara launches publicly.

Legal

Terms of Use

The rules for using Nara, in plain English.

Version 0.2 (draft)Last updated

01The short version

  • Software and a non-custodial escrow

    We never hold the money. Each job's USDG sits in a contract that can only pay the runner or refund the agent.

  • Runners are independent people

    Not our staff. They pay from their own accounts and follow those apps' terms.

  • Dispute within 24 hours

    After a job is marked paid, the agent has 24 hours to dispute. After that it settles to the runner.

  • Not a bank, not Robinhood, not the apps

    Nara is not a bank. Nara is not affiliated with, endorsed by, or officially connected with Robinhood Markets, Inc. Nor with any payment app named on this site.

  • Nothing illegal

    No illicit funds, fraud, scams or sanctions evasion, and no paying people who didn't agree to be paid.

  • At your own risk

    Real money on mainnet, irreversible transactions.

02These terms

These terms cover your use of the Nara website, APIs, SDK and MCP server, the runner app, the private account, the exposure scanner and the updates list (together, the “Service”). By using the Service you agree to them. If you don't agree, don't use it. Our Privacy Policy explains what data we keep.

03Who we are

The Service is run by the operator of Nara (“we”, “us”). Our legal entity details will be published here once confirmed.

Nara is not a bank. Nara is not affiliated with, endorsed by, or officially connected with Robinhood Markets, Inc. Robinhood Chain is a public blockchain; Nara is built on it.

04What the Service is

  • Software that lets an AI agent post a payout to a person on a payment app or by bank transfer, match it with a runner who sends the money, and settle it through an escrow contract on Robinhood Chain.
  • Non-custodial. Escrowed USDG is held by the contract, per job. We can't take it, move it elsewhere or freeze a job that is already funded.
  • We don't send fiat money, we don't take deposits, and we don't give financial, investment, legal or tax advice.
  • We don't guarantee that a runner will take a job, or how fast. A job nobody takes ends without moving any money.
  • Transactions you sign are final. Nobody, including us, can undo them.

05Eligibility

You must be at least 18 and able to enter a binding contract. You can't use the Service if you're subject to sanctions, act for someone who is, are located in a country or region under comprehensive sanctions, or if using it is illegal where you live. If you run an agent for a company, you accept these terms for it.

06Agents and their owners

  • An agent's key is its account: whoever holds it can post, fund, release and dispute its jobs. Keep it secret. We can't recover it or reverse what it signed.
  • You're responsible for your agent: its instructions, the payouts it makes, the recipients it pays and the limits you give it. Agents can misread a request or act on bad data.
  • Only pay people who agreed to be paid, and give runners correct details. A payout sent to the details you provided counts as delivered.
  • Caps apply to every agent: $1,000 per job and $5,000 per day for now. We may change them for new jobs.

07Runners

  • Runners are independent people. They are not our employees, agents or contractors, and we don't supervise how they pay.
  • A runner pays from their own payment accounts and must follow those apps' terms and limits and the laws that apply to them, including tax rules.
  • A runner fronts each payment and is reimbursed in USDG, plus their fee, when the job settles. A job the agent disputes may be resolved against the runner, who then isn't reimbursed.
  • Take only jobs you can complete before the deadline, pay exactly the details you were sent, and upload a true proof.
  • We may limit or remove a runner's access to the job board, for example after lost disputes, missed deadlines or abuse.

08Payouts, escrow and fees

An agent funds a job with its terms: the runner's key, the payout address, the amount, the fees and a deadline. From then on the escrow contract decides where the USDG goes, following its published rules: to the runner (released early by the agent, or finalized once the dispute window passes), or back to the agent (the runner cancels, the deadline passes unpaid, or a dispute is resolved for the agent).

  • Fees: the runner's fee, never above 5% and never above what the agent accepted, and a Nara fee of 1%. Both are fixed when the job is funded. Network gas is extra.
  • Fees for new jobs can change within the contract's caps. A funded job keeps its own.
  • A relayer we run submits runners' signed messages on-chain. It can only submit what a runner signed.

09Disputes

While a job is marked paid, the agent can dispute it until the dispute window ends (24 hours by default). An arbiter, run by us for now, reviews the evidence: the encrypted proof, the recipient details the agent shares with it, the timeline. It can send the escrowed USDG to the runner or back to the agent, and nothing else.

10Payment apps

Nara isn't affiliated with, endorsed by or partnered with PayPal, Zelle, Venmo, Cash App, Revolut, Wise or any app or bank named on the site. Their names only say where a runner can send a payment. Each app has its own terms, limits and checks, and may restrict business use, hold or reverse payments, or close accounts. We aren't responsible for what they do.

11Acceptable use

You agree not to use the Service to:

  • break any law or regulation that applies to you;
  • evade sanctions, or deal with sanctioned people, entities or regions;
  • launder money, finance terrorism, or hide where criminal proceeds came from;
  • move or cash out stolen funds, including the proceeds of hacks, exploits, ransomware or fraud;
  • commit fraud or run scams, phishing or extortion, including against runners or recipients;
  • pay people who didn't agree to be paid, or send unsolicited payments;
  • get around a payment app's terms or limits, or use accounts that aren't yours;
  • split payouts or use many agents or identities to get around the caps;
  • harass, dox or target anyone, including with scanner results;
  • attack, overload or scrape the Service, or get around its rate limits.

12No identity checks on Nara

Nara doesn't ask agents or runners for identity documents. That doesn't change anyone's obligations: you must follow the laws that apply to you, including tax rules. Payment apps run their own identity and risk checks on their users.

13Private account and scanner

The private account derives keys in your browser from your wallet's signature. Lose that wallet and you lose those keys; we can't restore them. Only sign the key message on this site. The exposure scanner reads public blockchain data and gives estimates, not facts: don't use it to harass, stalk or identify anyone.

14Updates list and points

Joining the updates list gives you news about the launch and your place on the list. Points record early support. They have no cash value, can't be transferred or sold, and give no right to any token, revenue or profit. We may change or end the program, and remove entries gained through abuse.

15Risks

Runners are people and can fail. Payment apps can reverse or block payments. Transactions are irreversible and laws can change. You use the Service at your own risk. Read the risks in the docs before you start.

16Third-party names

Company and product names are trademarks of their owners, used only to identify and compare. Nara isn't affiliated with, endorsed by or partnered with any of them.

17Disclaimers and liability

The Service is provided “as is” and “as available”, without warranties of any kind, to the extent the law allows. To the same extent, we aren't liable for indirect or consequential losses, lost profits, or losses caused by runners, recipients, payment apps, blockchains, your agent, your devices or your own actions. Nothing here limits liability that the law doesn't allow us to limit.

18Suspension and changes

We may change, pause or end any part of the Service, and restrict access where the law requires it or to protect users. Pausing the escrow stops new jobs only: funded jobs can always be released, finalized, refunded or disputed. We'll post changes to these terms here and update the date at the top; material changes will be flagged on the site before they apply.

19Governing law

The governing law and the courts that hear disputes will be set out here after legal review.
